These Terms of Service ("Terms") govern your access to and use of our website https://upworkgpt.club, products, services, and any related content (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our Services.

To use UpworkGPT, you must be at least 18 years of age or have the consent of a parent or legal guardian. By using our Services, you represent and warrant that you meet these eligibility requirements.

Account Registration

To use our Services, you may need to create an account. You are responsible for safeguarding your account information and for any activities that occur under your account. UpworkGPT is not liable for any loss or damage resulting from unauthorized use of your account.

Third-Party Services and Requirements

Our Services use third-party services, such as Crisp chat for customer support, Hotjar for user behavior analytics, and Google Analytics for website traffic analysis. To use UpworkGPT, you are also required to install the Tampermonkey extension and UpworkGPT userscript. By using our Services, you agree to comply with the terms and policies of these third-party services and requirements.

License to Use Our Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal or commercial use.

Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of UpworkGPT or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our Services without prior written consent from UpworkGPT.

User Content

You retain ownership of any content you submit or create while using our Services ("User Content"). By submitting User Content, you grant UpworkGPT a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, distribute, and display your User Content for any purpose, including to improve and promote our Services.

Prohibited Conduct

You agree not to engage in any of the following activities while using our Services:

• Violating any laws, regulations, or third-party rights;
• Submitting false, misleading, or inaccurate information;
• Using our Services for fraudulent or illegal purposes;
• Interfering with the security, integrity, or operation of our Services;
• Attempting to gain unauthorized access to our Services or user accounts;

Termination

UpworkGPT reserves the right to terminate your access to our Services at any time and for any reason, including but not limited to breaches of these Terms. Upon termination, all rights and licenses granted to you under these Terms will immediately cease.

Disclaimer of Warranties and Limitation of Liability

Our Services are provided "as is" and without warranties of any kind, express or implied. UpworkGPT disclaims all warranties, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. UpworkGPT does not guarantee that our Services will be uninterrupted, error-free, or secure.

In no event shall UpworkGPT or its affiliates, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, even if advised of the possibility of such damages. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Ukraine, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the Ukrainian Arbitration Association (UAA).

Data Hosting and International Data Transfers

Our Services are hosted on DigitalOcean droplet FRA1 in Germany. However, your information may be transferred to, stored, and processed in other countries where our third-party service providers and partners are located. By using our Services, you consent to the transfer of your information to countries outside of your country of residence, which may have different data protection laws.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or applicable laws. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of our Services after any changes to these Terms constitutes your acceptance of the updated Terms.
